Price Schedule — Canada Per Search Pricing

This Price Schedule is effective as of August 1, 2008, and continues until Subscriber is notified under Section 5.  Subscriber may review individual search charges on LexisNexis Quicklaw by clicking on the “$" icon or the information icon next to an individual source to display information on the source including the search price (“Price Check”), at no cost to Subscriber. 

1.             INFORMATION CHARGES

1.1   Searches.   Charges currently range from CN$0 to CN$400 per search.  Consult the Price Check for detailed search charges.  For any searches using more than one source (“Combined Search”), Subscriber will be charged the individual source rates of each Combined Search component selected, up to a maximum of CN$150.00 per search, except for BNA, CCH, Investext and SCI Tec materials which cannot be included in the capped amount.

1.2          LexisNexis^® Alerts and Legal Updates — Charges for Alert searches and Legal Updates (accessed through Quicklaw at www.lexisnexis.com/ca/legal) are based on the frequency of execution, according to the table below. Alerts or Legal Updates prints are subject to applicable printing rates.

1.3   Research Tools.

                                ** Premium content consists of materials from BNA, CCH, Matthew Bender, Mealey’s, Halsbury’s, JurisClasseur, QuickCITE™,Case and Statute Citators , Treatises, All Quantum Services, All Digests Services .

1.4          Printing, Saving to Disk, and Emailing — Charges for offline printing, online printing, saving to disk, and emailing are as follows.  The per page rates apply only for documents with electronic pagination.

1.5          Images — Charges are as follows per image retrieved, including print.

1.6          Attachments — Charges are as follows per attachment retrieved, including print.

1.7          Dun & Bradstreet^® Reports — Charges for Business Information Reports are as follows depending on the user’s location (e.g., United States, Canada, etc.). Charges for other Dun & Bradstreet Reports are as follows depending on the specific report requested.

1.8 Historic Stock Quotes.

1.9          EDGAR Online^® — CN$23.58 for Microsoft^® Excel^® Reports and CN$34.59 for Non-Excel^® Reports.

1.10        Multex — Charges for Multex reports depend on the number of pages in the report, as follows.

1.11  TotalPatent.

Subject to the acceptance of the appropriate product agreement, the transactional charges are as follows:

2.             MONTHLY ADMINISTRATION CHARGE – CN$50 per month.

3.             TAXES — Charges do not include any taxes. If such taxes are applicable, they will be charged to Subscriber's account.

4.             PAYMENT TERMS — Subscriber agrees to pay all charges and applicable taxes, within 30 days after receipt of an invoice. All payments must be in Canadian dollars. Bank drafts should be drawn on Canadian banks.  Amounts which have not been paid within 30 days after the invoice date will thereafter, until paid, be subject to a late payment charge at a rate equal to 1.5% per month.  The LN invoice will include the then-current non-sufficient funds fee for all returned checks.

5.             CHANGES TO CHARGES AND DISCOUNTS — Charges and discounts may be changed only on 30 days prior notice, which such notice shall be with your invoice or otherwise provided in writing.

6.             COLLECTION COST — If Subscriber fails to pay charges when due, Subscriber will be liable for all costs of collection incurred by the provider of the Online Services, including without limitations, collection agency fees, reasonable attorney's fees, and court costs. 

7.             MISCELLANEOUS

7.1          If Subscriber issues a purchase order or other document relating to the Online Services, Subscriber agrees that the document shall be for Subscriber's internal purposes only and shall not modify or affect any of the terms or conditions for access to the Online Services.

7.2          Judicial proceedings to resolve any dispute, controversy, or difference which may arise between the parties out of or in connection with this Agreement may be commenced by Subscriber against the provider of the Online Services, or any Covered Party in Ontario, Canada. To the extent that Subscriber may be otherwise legally permitted to commence judicial proceedings against the provider of the Online Services or any Covered Party, in any court other than as specified above, Subscriber waives its right to do so.

7.3          The provider of the Online Services hereunder shall at all times be subject to the export control laws and regulations of the United States, as amended from time to time. Subscriber shall take all reasonable actions to assist the provider of the Online Services in complying with the laws and regulations applicable to the export or import of information, software, equipment, or any other commodity or technical data made available to Subscriber under this Agreement. Subscriber shall not make any disposition, trans-shipment, re-export, or diversion of any such information, software, equipment, commodity, or data except as permitted by such laws and regulations and by the terms of this Agreement.

8.             PRICE DEFINITIONS — The following more fully describes some of the terms that are used in the Agreement.

8.1          Access means each execution of a command by Subscriber that requests a document, retrieved from certain indicated files, be displayed or printed.

8.2          Hourly Rates mean the charges assessed for each unit of time that Subscriber is in contact with central computer, beginning with the transmission of an identification number by Subscriber and ending when connection with the computer is terminated. Such charges are calculated at the rates set forth in Section 1.1 of the Price Schedule if Subscriber is accessing files or using features described in Section 1.1.

8.3          Alerts and Legal Updates means the feature that allows Subscriber to keep up-to-date on topics automatically. Subscriber may save a specified search request which shall thereafter be executed automatically at selected intervals without Subscriber's interaction. At each selected interval, a report shall be generated containing all documents retrieved that have been added or significantly changed since the last such report. At the time a search is saved, Subscriber may specify the interval and the format of the report to be generated. Subscriber should note that different files provided by the provider of the Online Services are updated on varying schedules.

8.4          QuickFind means a software application that retrieves or notes up case law directly from citations in word processor documents, email messages, web pages, and other electronic sources. Users link from citations to full-text decisions, case law summaries, and QuickCITE case citator records on the Quicklaw service.

8.5          Auto Link means a software application and/or web-based application. Users securely submit internal documents which are scanned for case law citations. Citations are then converted to hyperlinks to the full-text decisions on Quicklaw.

8.6          PowerInvoice™ means a secured, browser-based service containing Quicklaw billing data and electronic Quicklaw invoices.

8.7          Online Services means the electronic information services of the provider of the Online Services from time to time made available to Subscriber.

8.8          Source Selection means any individual publications or grouping of materials.
